By accessing or using DrillMinds (the "Service"), including the web application at app.drillminds.io and the website at www.drillminds.io, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

DrillMinds is a suite of drilling engineering calculators designed for estimation, reference, and educational purposes. The Service includes but is not limited to: ECD calculators, hydraulics models, well control tools, directional calculations, cementing tools, torque & drag estimators, and an AI-powered knowledge base.

3. Disclaimer of Accuracy — IMPORTANT

⚠️ DrillMinds is a REFERENCE AND EDUCATIONAL TOOL ONLY. All calculations, results, recommendations, and outputs provided by this application are approximations and estimates. They are NOT a substitute for professional engineering judgment, certified software, or verified field calculations.

You expressly acknowledge and agree that:

All results must be independently verified by qualified drilling engineers using certified tools before being applied to any field operation, well design, or engineering decision.
DrillMinds does not guarantee the accuracy, completeness, or reliability of any calculation or recommendation.
The formulas and models used are industry-standard approximations that may not account for all site-specific conditions, equipment variations, or operational parameters.
The AI Knowledge Base provides general information and should not be considered professional engineering advice.
DrillMinds shall not be used as the sole basis for any safety-critical decision.

4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DRILLMINDS LLC, ITS FOUNDERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM:

Use of or inability to use the Service
Any errors, inaccuracies, or omissions in calculations or results
Decisions made based on information provided by the Service
Property damage, personal injury, or loss of life arising from reliance on the Service's outputs
Equipment damage, well control incidents, or operational failures
Any losses, claims, or damages of any nature whatsoever

You assume all risks associated with the use of this Service and agree to hold DrillMinds LLC harmless from any and all claims.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. Each account is licensed for use by a single individual. Sharing accounts is prohibited and may result in termination.

6. Subscription & Payments

Free Trial: New users receive a 7-day free trial with limited daily calculations.
Pro Plans: Monthly ($9.99/mo), Annual ($79.99/yr), and Lifetime ($149.99) plans are available.
Billing: Subscriptions are billed through Stripe. By subscribing, you agree to Stripe's terms of service.
Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period.
Refunds: Refunds are handled on a case-by-case basis at the sole discretion of DrillMinds LLC. Contact info@drillminds.io for refund requests.

7. Intellectual Property

All content, code, design, branding, and intellectual property in DrillMinds is owned by DrillMinds LLC. You may not reproduce, distribute, modify, or create derivative works without written permission.

8. Acceptable Use

You agree not to:

Reverse engineer, decompile, or attempt to extract the source code
Use the Service for any unlawful purpose
Share, resell, or redistribute access to the Service
Attempt to bypass subscription restrictions or trial limitations
Use automated tools to scrape or abuse the Service

9. Indemnification

You agree to indemnify and hold harmless DrillMinds LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney fees) arising from your use of the Service or violation of these Terms.

10. Modifications

DrillMinds LLC reserves the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States. Any disputes shall be resolved in the courts of Harris County, Texas.
